Creator Program Terms

1. Acceptance, eligibility and definitions

These Creator Program Terms ("Creator Terms") are an agreement between MedaStaré Inc., a Delaware corporation with a registered address at 131 Continental Dr, Suite 305, Newark, Delaware 19713 ("MedaStaré," "we," "us" or "our"), and the individual or entity enrolling in the StarGift Creator Program ("Creator" or "you").

By enrolling in the Creator Program, accepting these Creator Terms, connecting a supported Stripe Connect payout account, or accepting a Creator Payout, you agree to be bound by these Creator Terms and the Creator Payout Schedule. If you do not agree, do not enroll or accept Creator Payouts.

Eligibility

To enroll and remain eligible, you must:

• be at least 18 years old, or the age of legal majority in your jurisdiction if higher;
• be located in a country currently supported for Creator Payouts;
• be able to create and maintain a Stripe Connect account or another payout method MedaStaré expressly supports;
• successfully complete identity, sanctions and payout verification required by Stripe, MedaStaré or applicable law;
• provide valid tax documentation when required;
• maintain a MedaStaré account in good standing; and
• comply with the Terms of Use, applicable Community Guidelines & Content Policy, these Creator Terms and applicable law.

Defined terms

• StarGift means the digital virtual item purchased by a consumer inside MedaStaré through the applicable supported app-store billing flow and sent within MedaStaré as an expression of appreciation, recognition or support for an eligible Creator.
• Store Commission means the actual commission, service fee or equivalent store charge deducted by Apple or Google for the relevant transaction before or as part of settlement to MedaStaré.
• Net Proceeds means the amount actually credited or remitted to MedaStaré and attributable to the relevant StarGift after the actual applicable Store Commission and any other store-controlled transaction deductions reflected in the applicable settlement. StarGift prices and Store Commission rates may vary and are not fixed by these Creator Terms.
• Platform & Program Services Fee or Platform Fee means the percentage of Net Proceeds MedaStaré retains as compensation for providing, operating, maintaining and supporting the StarGift and Creator Program ecosystem, at the rate stated in the Creator Payout Schedule.
• Creator Payout means the contractual amount MedaStaré calculates as payable to an eligible Creator under Section 3 and the Creator Payout Schedule.
• Creator Payout Schedule means MedaStaré's then-current published schedule setting the applicable Platform Fee and the timing, reserve, threshold and related payout parameters assigned to that Schedule by these Creator Terms.

2. The StarGift Creator Program

A consumer purchases a StarGift from MedaStaré through the applicable Apple App Store or Google Play billing flow. The applicable store processes the consumer payment according to its own terms and settlement arrangements with MedaStaré.

The StarGift itself is a digital virtual product. It is not cash, electronic money, stored value, a bank deposit, an investment product, a wage, an employment bonus, or a direct peer-to-peer transfer of the consumer's purchase price to you.

The Net Proceeds received or credited to MedaStaré are MedaStaré's revenue. Receiving a StarGift does not give you ownership of the consumer's payment, MedaStaré's store receivable, MedaStaré's revenue, or any specific funds.

Your right, if you satisfy these Creator Terms, is a contractual right to the Creator Payout calculated under these Creator Terms and the Creator Payout Schedule.

The consumer-facing terms applicable to purchasing and sending StarGifts are set out in the StarGift Terms.

3. Creator Payouts

For each eligible StarGift you receive, MedaStaré calculates the Creator Payout using the following formula:

Creator Payout = Net Proceeds × (100% − the Platform Fee then in effect).

The current Platform Fee and worked examples are published in the Creator Payout Schedule. The rate applicable to a StarGift is the rate disclosed and in effect when that StarGift is received, subject to any correction required for fraud, refund, reversal, technical error or applicable law.

The Creator Payout is calculated from Net Proceeds, not from the consumer's gross purchase price. Store Commission rates are determined by the relevant store and may vary by store, program, transaction, territory or other applicable criteria.

If the Store Commission or another store-controlled settlement deduction changes, Net Proceeds and therefore the Creator Payout may change even if the Platform Fee itself does not change.

The Creator Payout is a contractual payment MedaStaré makes from its own revenue for eligible participation in the Creator Program. It is not an assignment of the consumer's payment, not ownership of a pooled fund, not a bank or wallet balance, and not a royalty independent of these Creator Terms.

MedaStaré may offer a different, tiered or promotional Platform Fee to particular Creators, campaigns or markets if the applicable rate is disclosed before it applies to the relevant StarGift.

4. Platform & Program Services Fee

The Platform Fee is MedaStaré's commercial compensation for providing and operating the monetization ecosystem that enables eligible Creators to receive Creator Payouts through StarGift.

Depending on the feature and market, the platform and program services supported by the Platform Fee include:

• StarGift and Creator monetization infrastructure;
• platform access, distribution and Creator discovery functionality;
• content hosting, delivery and related platform operations;
• moderation and trust-and-safety operations;
• Creator and customer support;
• fraud, refund, reversal and chargeback administration;
• payout operations and Creator-program administration;
• compliance and risk-management administration; and
• ongoing development, maintenance and operation of the Creator platform.

The Platform Fee is not a deduction from money already owned by the Creator. The Creator's contractual entitlement is the Creator Payout produced by the disclosed formula after application of the Platform Fee.

The Platform Fee is not represented as reimbursement of MedaStaré's exact costs. MedaStaré does not represent that its costs equal the Platform Fee percentage. The fee is the agreed commercial price for the platform and program services described above.

The Platform Fee is separate from Store Commission, tax withholding, refunds, reversals, chargebacks and other adjustments expressly permitted by these Creator Terms.

5. Pending balances, holds and reserves

A Creator Payout begins as a pending contractual balance and becomes an available balance only after the hold period stated in the Creator Payout Schedule and satisfaction of applicable verification and program requirements.

During the hold period, a Creator Payout may be reduced or removed if the underlying StarGift is refunded, reversed, charged back, determined to be unauthorized, linked to prohibited conduct, or otherwise subject to an adjustment allowed by these Creator Terms.

MedaStaré may apply the standard reserve stated in the Creator Payout Schedule. A reserve is a temporary risk-control hold, not an additional Platform Fee, penalty or automatic forfeiture. Except to the extent subject to a valid adjustment, withholding, offset or legal restriction, a reserved amount is released after the applicable reserve period.

The Creator Payout Schedule is incorporated into these Creator Terms and is the controlling source for the standard hold period, standard reserve percentage and period, payout cadence, minimum payout threshold, dispute window, recovery threshold and other operational payout parameters. Unless the Schedule expressly states otherwise, a standard hold and standard reserve measured from the same Creator Payout run from the same pending-date reference point and are not automatically cumulative. MedaStaré may apply a longer hold or larger reserve to a specific Creator only where permitted by these Creator Terms and reasonably justified by fraud risk, refund or dispute history, verification status or comparable program risk.

Pending, available and reserved balances are contractual payout calculations. They are not bank deposits, electronic money, stored value, trust funds or wallet balances and do not give you a claim to any particular account or funds held by MedaStaré.

6. Payout schedule and minimum threshold

MedaStaré issues eligible available balances according to the payout cadence stated in the Creator Payout Schedule and only after the minimum payout threshold stated there has been met. A stated monthly cadence means one regular payout cycle per calendar month and does not guarantee bank receipt on a particular date.

Ordinary payout-processing fees that the Creator Payout Schedule states are covered by the Platform & Program Services Fee will not be separately deducted from the Creator Payout. Creator-specific third-party charges may be passed through only where the Schedule permits, the charge is reasonably attributable to the Creator's payout route or payout failure, and applicable law allows it.

If your available balance is below the applicable threshold on a payout date, it rolls forward until the threshold is met, subject to these Creator Terms.

Payouts are issued through the payout destination associated with your supported Stripe Connect account or another method expressly approved by MedaStaré. You are responsible for keeping payout information accurate, current and verified.

MedaStaré is not responsible for delay or misdirection caused by incorrect or incomplete information supplied by you, banking-network delays, Stripe processing, sanctions review, provider outages or other circumstances outside MedaStaré's reasonable control, except to the extent liability cannot lawfully be excluded.

7. Refunds, reversals, chargebacks and offsets

If Apple, Google or another authorized store refunds, reverses or charges back a StarGift transaction, or if the transaction is determined to be unauthorized or fraudulent, the associated Creator Payout may be removed, reduced or reversed to the corresponding extent.

If the affected Creator Payout remains unpaid, MedaStaré may deduct the applicable amount from the pending or available balance. If the Creator Payout has already been paid or the remaining balance is insufficient, MedaStaré may offset the shortfall against future Creator Payouts, net it against other amounts MedaStaré owes you, or recover it through another lawful method.

MedaStaré may also withhold, hold, offset, reverse or recover Creator Payouts reasonably linked to fraud, abuse, self-gifting, related-account manipulation, artificial engagement, violations of these Creator Terms or activity inconsistent with genuine consumer engagement.

Recovery rights under this Section are intended to correct invalid or lost transactions and are not a penalty. MedaStaré will not intentionally recover more than the amount reasonably attributable to the relevant refund, reversal, chargeback, confirmed fraud or other permitted adjustment, except for separately recoverable costs or amounts where expressly permitted by law or agreement.

The Creator Payout Schedule may establish a de minimis threshold below which MedaStaré ordinarily will not initiate direct collection from a Creator. Such a threshold does not validate an invalid transaction, waive MedaStaré's right to correct its records, or prevent lawful netting or offset against future amounts otherwise payable.

8. Taxes and tax documentation

You are responsible for providing valid tax information and documentation reasonably requested by MedaStaré, Stripe or applicable law before or during participation in the Creator Program.

Depending on your status and jurisdiction, required documentation may include a Form W-9, Form W-8BEN, Form W-8BEN-E or another applicable tax form or equivalent information.

MedaStaré may suspend payouts, apply required withholding, report payments or request renewed documentation where required by law. The applicable withholding rate, reporting form and tax treatment depend on the Creator's circumstances and the law in effect at the relevant time.

You are responsible for determining and paying taxes imposed on you in your country, state, province or other jurisdiction. Nothing in these Creator Terms is tax advice.

9. Relationship of the parties

Participation in the StarGift Creator Program, by itself, is as an independent Creator and does not create an employment relationship, partnership, joint venture, franchise, fiduciary relationship or agency relationship between you and MedaStaré.

Creator Payouts under this Program are not wages or employment bonuses and do not entitle you to employee benefits, equity, ownership or membership rights in MedaStaré.

MedaStaré does not, solely by reason of your StarGift participation, set your working hours, direct the specific manner in which you create content or require exclusivity to MedaStaré.

If you and MedaStaré enter into a separate employment, services, campaign, ambassador or other written agreement, that separate agreement may create different rights and obligations for the activities it covers. These Creator Terms govern StarGift Creator Program participation unless that separate agreement expressly states otherwise.

10. Compliance, sanctions, restricted persons and verification

You must comply with applicable sanctions, anti-money-laundering, anti-fraud, tax, export-control and other laws relevant to the Creator Program.

You represent that you are not prohibited from participating or receiving payment under applicable sanctions or restricted-party laws and will notify MedaStaré if that changes.

You must complete and maintain any identity, tax and payout verification required through Stripe Connect or another authorized process before receiving a Creator Payout.

MedaStaré may deny enrollment, restrict participation, hold payouts or terminate participation where necessary to comply with law, provider requirements, sanctions, verification requirements or legitimate fraud and risk controls.

11. Suspension, termination and forfeiture

MedaStaré may suspend Creator Program participation while investigating suspected fraud, abuse, policy violations, legal violations or material verification concerns. During an investigation, affected balances may be held rather than automatically forfeited.

Where reasonably possible and legally permitted, MedaStaré will notify you of the suspension and provide sufficient information to understand the general reason without compromising security, fraud controls, another person's rights or a legal obligation.

If MedaStaré determines that particular StarGifts or Creator Payouts resulted from fraud, prohibited self-dealing, manipulation or another violation, MedaStaré may forfeit only the Creator Payouts reasonably connected to that conduct, unless the affected transactions cannot reasonably be separated from a broader fraudulent or violating pattern.

Either party may end Creator Program participation at any time. Termination does not automatically eliminate an otherwise valid Creator Payout already earned and not subject to a permitted hold, offset, reversal or forfeiture.

12. How to dispute a decision about your payouts

If MedaStaré withholds, offsets, reverses or forfeits a Creator Payout, suspends payouts or ends your participation, you may dispute the decision by emailing support@medastare.com within the dispute window stated in the Creator Payout Schedule.

Your dispute should identify the decision, explain why you believe it is incorrect and include relevant non-sensitive supporting information.

MedaStaré will review the dispute and aims to provide a written response within 30 days after receiving the information reasonably necessary to complete the review. An affected balance may remain on hold while the dispute is open.

This internal process does not waive or replace any non-waivable legal right or the dispute provisions in Section 18.

13. Account deletion and unclaimed balances

If you voluntarily delete your MedaStaré account while an eligible Creator balance remains unpaid, the post-deletion verification window and related payout treatment stated in the Creator Payout Schedule apply.

A balance still in an applicable hold period continues through that hold period, subject to refunds, reversals, fraud review, verification and the other rules in these Creator Terms.

If an otherwise valid balance cannot be paid because verification remains incomplete, MedaStaré may continue holding the amount and may ultimately report or remit it as unclaimed property where required by applicable law. MedaStaré does not automatically convert a valid unpaid Creator balance into its own revenue merely because an account was deleted.

Balances lawfully forfeited or reversed under Sections 7 or 11 are governed by those Sections instead.

14. Your content

You represent that you own or have the rights necessary to post and use content you make available through MedaStaré and that your content does not infringe or violate the rights of another person.

You must comply with MedaStaré's Terms of Use and applicable Community Guidelines & Content Policy. A violation may affect Creator Program eligibility where the violation is relevant to the Program, user safety, fraud prevention or platform integrity.

The license under which MedaStaré may host, display and technically process your content is governed by the Terms of Use and any separate agreement that applies. Creator Payouts are not payment for a transfer of ownership in your content unless a separate written agreement expressly says otherwise.

You remain responsible for third-party rights in your content and for claims arising from your own unlawful or unauthorized content, subject to applicable law and the limitations in any controlling agreement.

15. Stripe Connect, data and privacy

Eligible Creators use Stripe Connect for supported onboarding, identity verification and payout infrastructure.

Stripe collects and processes sensitive financial and identity information required for its services under Stripe's own terms and privacy practices. MedaStaré is designed not to store your complete bank-account number, complete payment-card number, CVC/security code, online-banking password or the underlying identity documents you submit directly through Stripe's verification flow.

MedaStaré may receive limited information necessary to operate the Creator Program, such as connected-account identifiers, country, account or capability status, verification status or requirements, payout status, transfer or balance information and masked financial-account information made available by Stripe.

MedaStaré's processing of information it receives is described in the Privacy Policy and Subprocessors disclosure.

If Stripe cannot support or verify your account, suspends the connected account or cannot complete a payout, MedaStaré may be unable to pay you until the issue is resolved or another lawful payout route is available.

16. Program changes and discretion

MedaStaré may modify the Creator Payout Schedule prospectively, including the Platform Fee, hold period, reserve, payout cadence, minimum threshold and other parameters assigned to that Schedule.

MedaStaré will provide at least 15 days' notice of a material adverse change where reasonably practicable and where a longer or different notice period is not required by law. Notice may be provided through the app, by email or by another method reasonably designed to reach affected Creators.

A prospective Platform Fee or payout-formula change applies to StarGifts received on or after its effective date and does not retroactively reduce the Creator Payout formula applicable to StarGifts received before that date, except for later refunds, reversals, fraud findings, legal compliance adjustments or other adjustments separately permitted by these Creator Terms.

MedaStaré may modify, suspend or discontinue the Creator Program. If the Program is discontinued, MedaStaré will administer valid pending and available balances under the terms then applicable, subject to Sections 7, 11 and 13.

17. Disclaimers and limitation of liability

The Creator Program is provided on an "as is" and "as available" basis. MedaStaré does not guarantee any minimum number or value of StarGifts, any minimum Creator income, any particular Store Commission, continued support by Apple, Google or Stripe, or continued payout availability in every country.

To the fullest extent permitted by applicable law, MedaStaré's aggregate liability arising out of the Creator Program or these Creator Terms will not exceed the greater of (a) the Creator Payouts actually paid to you during the six months immediately preceding the event giving rise to the claim or (b) US$500.

To the fullest extent permitted by applicable law, MedaStaré will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits or lost revenue, arising from the Creator Program.

Nothing in this Section limits liability that cannot lawfully be limited, or MedaStaré's obligation to pay a Creator Payout that is properly due and not subject to a permitted hold, reversal, offset, forfeiture or legal restriction.

18. Governing law and dispute resolution

These Creator Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, except to the extent mandatory law in your jurisdiction gives you rights that cannot lawfully be waived.

Subject to any non-waivable right to bring a claim elsewhere, you and MedaStaré agree that claims arising out of or relating to these Creator Terms or the Creator Program will be brought in the state or federal courts located in Delaware, and each party consents to the jurisdiction and venue of those courts.

Nothing in this Section prevents either party from seeking urgent injunctive or protective relief in a court with lawful jurisdiction where necessary to protect intellectual property, confidential information, users, funds or platform integrity.

19. General provisions

These Creator Terms, together with the Creator Payout Schedule, StarGift Terms, Terms of Use, applicable Community Guidelines & Content Policy, Privacy Policy and Subprocessors disclosure, form the agreement governing participation in the StarGift Creator Program, except where a separate written agreement expressly controls a specific matter.

If a provision is held unenforceable, the remaining provisions continue in effect to the fullest extent permitted by law. Failure to enforce a provision is not a waiver of the right to enforce it later.

You may not assign your rights under these Creator Terms without MedaStaré's prior written consent. MedaStaré may assign these Creator Terms in connection with a merger, acquisition, reorganization, financing, sale of substantially all relevant assets or other lawful corporate transaction.

Program notices to you may be provided through the app, to the email associated with your account, or by another method reasonably designed to reach you.

Creator Program questions, payout disputes and contractual notices under these Creator Terms may be sent to support@medastare.com. Formal service of legal process must comply with applicable law and is not completed merely by emailing general support unless MedaStaré expressly accepts service in writing.

Sections concerning refunds and recovery, taxes, relationship of the parties, account deletion and unclaimed balances, content, liability, governing law and any provision that by its nature should survive will survive termination.
